Terms & Conditions
Effective Date: 1 January 2025
These Terms govern your access to and use of the entire Scale platform ecosystem. By registering or utilizing our Services, you establish a legally binding agreement to adhere to these Terms in their entirety.
1. Account Registration & Store Administration
To operate a commercial shop on Scale, you require an authenticated account. By managing this store, you explicitly agree to the following provisions:
- Truthful Identity: You must supply authentic, legally verifiable business information matching official enterprise certificates.
- Credential Integrity: You bear sole responsibility for maintaining security over your primary administrative account and password credentials.
- Unilateral Liability: The primary shop creator accepts total liability for all actions originating from the store profile, irrespective of which staff member executed the command.
- Account Transfer Prohibition: You may not sell, lease, or transfer ownership of a verified Scale account to third-party entities without explicit written clearance from Scale Support.
2. Product & Inventory Management
Scale empowers you to digitize massive product catalogs. When broadcasting these items to your digital storefront, you unconditionally agree to:
- Categorical Accuracy: Flawlessly represent your products, including variant combinations and their associated pricing points.
- Strict Stock Governance: Proactively maintain accurate stock quantities to prevent overselling. You must fulfill orders placed for items you have marked as "In Stock".
- Prohibited Contraband: Never list legally prohibited, illicit, dangerous, stolen, or restricted items on the Scale platform. Violation results in instantaneous termination and asset forfeiture.
- Media Ownership: Ensure you legally possess the intellectual property rights to all images, videos, and graphics you upload. Scale enforces copyright standards and handles DMCA takedowns.
3. Staff & Access Permissions (RBAC)
Scale incorporates a powerful Role-Based Access Control (RBAC) system, allowing the principal administrator to invite staff members (e.g., "Managers", "Cashiers") to help manage the digital footprint.
1. Vicarious Liability: You assume fully unmitigated legal and financial responsibility for every action executed by a staff affiliate within your workspace.
2. Indemnification: Scale explicitly disclaims liability for any unauthorized alterations, mass product deletions, or financial mismanagement maliciously executed by individuals you personally invited to the platform. Security delegation relies entirely upon your judgment.
4. Wallets, Finances & Payouts
Your "Scale Wallet" acts as a centralized ledger aggregating clearing funds from successful customer checkouts and Point of Sale (POS) operations. The economic rules dictating the Wallet are ironclad:
- Transactional Tariffs: Processed payments are subject to baseline platform infrastructure fees alongside standard payment gateway processing percentages (e.g., Paystack/Flutterwave).
- Settlement Timelines: Liquid funds become available for withdrawal only after the designated T+1 or T+3 holding settlement periods clear within the wider national banking network.
- Infallible Banking Routing: You must configure 100% accurate destination bank details. Scale is entirely freed from any liability regarding funds transmitted into incorrect accounts generated by faulty data entry.
- Frozen Assets: In suspected instances of profound fraud, Scale retains the right to indefinitely freeze your Wallet balances pending internal or federal investigation.
5. Shipping Logic & Delivery Fee Economics
You maintain total autonomy to map intricate shipping regions connecting distinct geographical zones to numeric delivery fees. This complex matrix directly influences the checkout total presented to your final customer. If an administrator misconfigures a shipping region resulting in a cheaper displayed rate, the error is yours. You must either absorb the monetary loss to complete the shipment or interact with the buyer to renegotiate the discrepancy. Scale will never intercept or subsidize a loss resulting from user delivery configuration errors.
6. Subscriptions & Tiered Billing
To maintain the massive infrastructure powering the platform, Scale operates on a structured subscription model with brackets—currently designated: 'Free', 'Hustler', 'Nepo', and 'Over Sabi'. Your chosen tier structurally dictates rigid database limits regarding total maximum product counts, maximum CRM customer logs, staff invitation capacities, and active domain customizability. By willfully subscribing to an upgraded bracket, you legally agree to recurring periodic billing models. Subscription modifications are applied to forthcoming billing cycles. Pro-rata downgrades leading to direct cash refunds are not supported; payments are final.
7. Unverified Hub Stores
8. Limitation of Corporate Liability
Scale engineers cutting-edge software ecosystems explicitly to amplify your retail capabilities. We provide the digital infrastructure. However, we do not guarantee an influx of sales traffic, search engine dominance, or operational success. We assume zero responsibility for mediating disputes surfacing between you and your clients regarding damaged physical product quality, missed delivery timeframes, or unfulfilled promises. The sole relationship and burden of fulfillment rests strictly with you, the vendor.
9. System Modifications
Scale reserves the absolute right to modify, deprecate, rewrite, or reinvent aspects of the platform UI, backend infrastructure, layout algorithms, database schemas, and these operational Terms at any point without soliciting prior widespread approval—though profound structural shifts will systematically be communicated via your registered administrative email.
